Medtronic exchanged all its remaining MiniMed shares after a 5.4x subscribed offer, completing the separation. Medigear.uk covers what changes next.
The MiniMed separation from Medtronic is finished. Both companies said so on Thursday, 15 October 2026. MiniMed, the diabetes technology business, is now fully independent of its former parent. Medtronic no longer owns any of its shares.
MiniMed listed publicly in March. In September, Medtronic opened an exchange offer for part of its MiniMed holding. The terms let it hand over everything it still held if investors asked for more than was on offer.
Investors did exactly that. The offer was 5.4x subscribed, so demand exceeded the amount on offer by more than five times. Medtronic therefore swapped all of its remaining MiniMed shares for Medtronic shares. It now holds no stake in the company, and the final step in splitting the two businesses is closed.
Chief executive Que Dallara framed independence as both a freedom and a duty. In a statement, she said: "As an independent company, we have the freedom to make the decisions we believe are right for our business and the people we serve, and the responsibility to see those decisions through."
"Our focus now is to put that independence to work and continue advancing what is possible in diabetes care," she added.
Ending the ownership link does not end every tie. Chief financial officer Chad Spooner spoke on a September earnings call. He said MiniMed is working to leave its technology service agreements with Medtronic. The company started with about 160. It expects to exit most during 2027. Some working links between the two firms will carry into next year.
MiniMed shares closed at $17.50 on Thursday, the day the separation was confirmed. The stock trades on Nasdaq under the ticker MMED.
The MiniMed separation from Medtronic gives the diabetes technology company full control over its direction, as its chief executive framed it. The service agreements show that day to day links will take longer to unwind than the share swap did. Medigear.uk follows the MiniMed separation from Medtronic and wider diabetes technology news.
